Red Flags

How many red flags have been exhibited by the company? Some are fairly innocuous but many are not.

  1. A Canadian company with a Nevada based pinksheet. A classic red flag, the use of multiple jurisdictions is very common as it creates jurisdictional problems.
  2. Hot and hyped sectors are very popular as they already have the eyes of many on them.
  3. No apparent assets or information filed anywhere.
  4. The shell provider (Jesse Rodriguez) has very little apparent past history in the business. The other two deals he has done have been with a dubious business and a person with a bad past record.
  5. The prior deal done by the shell provider (Jesse R.) was related to a shell "hijacking" which failed (ZIPL).
  6. A 504 offering was done, WRII another of Jesse's shells did the same. Here is what a highly respected expert in the field has to say. "The problem with 504, as I pointed out in the book, is while it is totally legal, it is more often than not being used by questionable or shady characters to avoid disclosure obligations before having public trading. Indeed 42 states now prohibit a 504 offerings from taking place in their state, if that gives you any indication."
  7. The 504 offering went to a now defunct LLC in Minnesota (MG Financial LLC) which had no physical office or history other than the 504 offering with WRII and ONMC.
  8. Officer biographies on the company website lack detail and omit much, very few past employers and company names are mentioned.
  9. The company uses a cellphone as it main point of contact.
  10. The company's supplier has a spotted past, utilizing government grants and has recent connections to a shady business man (Russell Beckett)
  11. The companies supplier monitors and posts on internet message boards (IHub) Irene Cameron
  12. False material information was leaked to the public in the form of a "promo video"
  13. No public denial or acknowledgement has been made regarding the leaked "promo video"
  14. Company insider offering inside information as a bribe to a critic
  15. Veiled threats and rabid insults are made to a company critic by an insider when attempted bribe is ignored.
  16. Continual delays in almost every action, (name change, CUSIP, merger.)
  17. Company officials flying to the USA to do menial tasks such as filing papers.
  18. The Transfer agent will not release the share structure.
  19. The Outstanding shares have risen continually, when numbers have been released.
  20. Outrageous claims for a start up pinksheet (500 million dollar contract).
  21. The outrageous claims are continually hyped in press releases (14 times by the time of this being written).
  22. Excessive press releases (Between Oct 25-2007 and February 11-2008 14 in total)
  23. Fluffy press releases announcing things such as coverage by Eric David and Sons
  24. Past and lengthy connections to a convicted fraud artist (Andrea Cortellazzi) Based on the Oct25th/07 ONMC PR and previous PRs released by COHG amount to ~8 months of contact.
  25. Connections to the convicted fraud artist are poorly and briefly denied raising far more questions than were answered as to what really happened.
  26. Excessive touting on IHub by known promoters who have no record of promoting lasting or real companies.
  27. Incorrect Information filed with the state of Nevada, misspelling of names is very common to hide relationships and hinder later searches on the person.
  28. Several posters on IHub have shown up giving tidbits and claiming to be insiders here
